Terms of Service

These Terms of Service (“Terms”) govern your use of the Spread Sniper iOS application and the spreadsniper.app website (collectively, the “Service”), operated by SwanPowers, LLC (“SwanPowers”, “we”, “us”, “our”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

IMPORTANT — NOT INVESTMENT ADVICE. Spread Sniper is a trade-construction tool. We do not provide investment, financial, tax, or legal advice. The information provided through the Service is for educational and informational purposes only and should not be construed as a recommendation to buy, sell, or hold any security. Options trading involves substantial risk and is not suitable for all investors. You may lose more than you invest. You are solely responsible for your own investment decisions.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use the Service. By using the Service, you represent that you meet these requirements.

2. Description of Service

Spread Sniper provides tools to help users visualize and construct options spread trades based on price predictions they draw on stock charts. The Service suggests spread structures based on user inputs and market data. The Service does not execute trades, hold customer funds, or act as a broker-dealer. To place actual trades, you must use a separate licensed broker.

3. Not a Broker-Dealer or Investment Adviser

SwanPowers is not a registered broker-dealer, investment adviser, or financial planner. We do not:

Provide personalized investment advice
Recommend specific securities or trades
Execute trades on your behalf
Hold or custody customer funds or securities
Guarantee any investment performance

Any spread suggestions generated by the Service are based on algorithmic analysis of market data and user inputs. They are not recommendations and do not consider your individual financial situation, risk tolerance, or investment objectives.

4. Options Trading Risks

Options trading involves significant risk, including but not limited to:

Total loss of principal. You may lose the entire amount you invest in a trade, and in some strategies, more than you invest.
Time decay. Options lose value as they approach expiration.
Volatility risk. Changes in volatility can significantly affect option prices.
Assignment risk. Short option positions may be assigned at any time, resulting in unexpected stock positions.
Liquidity risk. Some options have wide bid-ask spreads or low volume, making them difficult to trade at favorable prices.

Before trading options, you must read and understand the Characteristics and Risks of Standardized Options published by The Options Clearing Corporation. We strongly recommend consulting a qualified financial adviser before engaging in options trading.

5. Market Data

The Service displays market data obtained from third-party providers (including Polygon.io). This data may be delayed, inaccurate, or incomplete. We do not guarantee the accuracy, timeliness, or completeness of market data. You should not rely solely on data displayed in the Service for trading decisions.

6. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@spreadsniper.app if you suspect unauthorized access.

7. Subscriptions and Payment

Certain features require a paid subscription. Subscriptions may be purchased through Apple’s App Store (processed by Apple under Apple’s terms) or through our website (processed by Stripe). Prices are displayed at the point of purchase.

Auto-renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
Cancellation. You may cancel at any time. For App Store subscriptions, manage through your Apple ID settings. For web subscriptions, manage through your account page or email support.
Refunds.App Store refunds are governed by Apple’s policies. Web subscription refund requests can be sent to support@spreadsniper.app and will be considered at our discretion, except where required by law.
Price changes. We may change subscription prices; any change will apply to your next renewal and we will notify you in advance.

8. Acceptable Use

You agree not to:

Use the Service to violate any law or regulation
Reverse-engineer, decompile, or attempt to extract source code from the Service
Use automated tools (scrapers, bots) to access the Service, except through official APIs
Share, resell, or sublicense your account access
Interfere with the Service’s operation or attempt to bypass security measures
Submit false or misleading information

9. Intellectual Property

The Service, including all content, software, and trademarks, is owned by SwanPowers, LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Third-Party Services

The Service integrates with or links to third-party services (brokers, payment processors, data providers). We are not responsible for the content, availability, or policies of third-party services. Your use of third-party services is governed by their own terms.

11. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED WILL BE ACCURATE OR TIMELY.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWANPOWERS, LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

IN NO EVENT SHALL WE BE LIABLE FOR TRADING LOSSES INCURRED BY YOU. You acknowledge that trading decisions are your own and that the Service is a tool to assist your analysis, not a source of trading recommendations.

13. Indemnification

You agree to indemnify and hold harmless SwanPowers, LLC and its officers, employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

15. Dispute Resolution — Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement. Arbitration shall take place in the state where SwanPowers, LLC is organized, or remotely. You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

16. Governing Law

These Terms are governed by the laws of the United States and the state where SwanPowers, LLC is organized, without regard to its conflict of law principles.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SwanPowers, LLC regarding the Service and supersede any prior agreements.
